Coaches Corner Platform Terms of Use and Participation Agreement

This Coaches Corner Platform Terms of Use and Participation Agreement (“Agreement”) is entered into between Coaches Corner and the individual or entity registering as a coach (“Coach,” “you,” or “your”).

By creating an account, submitting a profile, or listing coaching services on Coaches Corner, you agree to be bound by this Agreement.

1. Independent Contractor Relationship

Coach acknowledges and agrees that Coach is an independent contractor, and not an employee, partner, agent, joint venturer, or representative of Coaches Corner. Coach has no authority to bind Coaches Corner in any manner.

2. Platform Role and Limitations

Coaches Corner operates solely as a directory and marketplace for independent coaches. Coaches Corner does not:

• Provide coaching services
• Supervise or control coaching sessions
• Guarantee client referrals, leads, income, or outcomes
• Endorse or certify any coach

All coaching services are provided solely by the Coach.

3. Coach Responsibilities

Coach agrees to:

• Provide accurate, truthful, and current information in all listings
• Maintain professional conduct at all times
• Comply with all applicable local, state, federal, and international laws
• Clearly disclose qualifications, credentials, and limitations
• Maintain any required licenses or certifications
• Update profile information promptly when changes occur

4. Profile Approval and Removal

Coaches Corner reserves the right, at its sole discretion, to:

• Review, approve, edit, suspend, or remove any listing
• Remove any coach for violations of this Agreement or related policies
• Modify platform features or availability at any time

5. Termination

Coach may terminate participation at any time by removing their listing.
Coaches Corner may terminate this Agreement at any time, with or without cause, with or without notice.

6. Modifications

Coaches Corner may update this Agreement periodically. Continued use of the Platform after updates constitutes acceptance.

7. Code of Ethics Agreement

Coach agrees to adhere to the following ethical standards:

7.1. Professional Conduct

Coach shall:

• Treat all clients with respect, dignity, and fairness
• Maintain professional boundaries at all times
• Avoid conflicts of interest or dual relationships

7.2. Confidentiality

Coach agrees to maintain confidentiality of client information, except where disclosure is required by law.

7.3. Non-Discrimination

Coach agrees not to discriminate based on race, gender, age, disability, religion, sexual orientation, or protected status.

7.4. Truthful Representation

Coach agrees not to make false, misleading, or exaggerated claims regarding outcomes or qualifications.

7.5. Ethical Enforcement

Violations may result in review, suspension, or termination of participation on Coaches Corner.

• Non-therapeutic coaching disclaimer

Users/Coaches/Members acknowledges and agrees that:

1. Coaching services are not psychotherapy, counseling, mental health treatment, medical care, legal advice, or financial advice.
2. Coach will not diagnose, treat, or attempt to cure any physical, mental, or emotional condition.
3. Coach will not present themselves as a licensed professional unless legally authorized and properly credentialed.
4. Coaching focuses on personal growth, awareness, accountability, goal-setting, and skill development.
5. Coach agrees to refer clients to licensed professionals when issues fall outside the scope of coaching or when crisis support is required.
6. Coach understands that the Platform does not provide or supervise coaching services.

Coach agrees to clearly communicate these limitations to clients.

9. Indemnification & Hold Harmless Agreement

Coach agrees to indemnify, defend, and hold harmless Coaches Corner, its owners, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Coach’s services
• Client interactions or disputes
• Alleged misrepresentation or misconduct
• Violation of this Agreement
• Violation of law

Coach acknowledges that professional liability insurance is the Coach’s sole responsibility.

10. Scope of Practice Agreement

Coach agrees to practice coaching only within an appropriate and lawful scope.

10.1. Professional Boundaries

Coach agrees to:

• Operate only within areas of competence based on education, training, and experience
• Avoid providing services requiring licensure unless properly licensed
• Accurately represent qualifications and experience

10.2. Referrals and Client Safety

Coach agrees to:

• Refer clients to qualified professionals when needs exceed coaching scope
• Discontinue coaching where continuation may cause harm
• Encourage appropriate professional or emergency assistance when necessary

10.3. Platform Protection

Coach acknowledges that failure to adhere to this Scope of Practice may result in removal from Coaches Corner.

11. Results & Client Responsibility Disclaimer

Coach acknowledges and agrees that:

1. Coaching outcomes are not guaranteed.
2. Client results depend on individual effort, circumstances, and choices.
3. Coach provides guidance and support, not directives or decisions.
4. Clients remain solely responsible for their actions, decisions, and outcomes.
5. Testimonials and examples do not constitute promises of results.
6. The Platform makes no representations regarding coaching effectiveness.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Virginia, without regard to conflict of law principles.
